April 26, 2004 – Monolithic System Technology Inc. (MoSys), Sunnyvale, CA, has charged Synopsys, Mountain View, CA, with breach of contract as a result of the latter’s termination of a merger agreement announced in February. The complaint specifies that Synopsys must complete the merger or pay damages to MoSys and its stockholders.

Synopsys has not yet commented on its decision to terminate the agreement; according to a MoSys statement, the suit alleges that Synopsys may have obtained information to gain “an unfair and illegal advantage in competing with MoSys at some future point” when Synopsys crosses over into the memory market.
