Germany authorities clear KLA-ADE merger

October 6, 2006 – German antitrust authorities have closed their Phase II investigation and given their approval of KLA-Tencor’s proposed acquisition of ADE Corp., which has already been cleared by antitrust authorities in all other applicable jurisdictions. The parties expect to officially close the merger on Oct. 11, 2006.

In late August, the companies pushed their original deadline from Aug. 28 to Nov. 10, to obtain regulatory clearance from German antitrust authorities. The two companies announced the deal in February, and later changed the terms from stock-based to all-cash, slightly lowering the total value (~$478 million) but offering a better premium for ADE shareholders.
