Germany finally OKs delayed KLA-Tencor, Therma-Wave deal

May 14, 2007 – After months of drawn-out investigations, Germany’s Federal Cartel Office has finally given written approval for KLA-Tencor’s proposed acquisition of Therma-Wave Inc., the final regulatory clearance that had stalled the deal.

The FCO first raised questions in February, initiating a Phase 2 review of the proposed acquisition that by rules could take up to a four-month waiting period before approval.

The original proposal was launched in January for roughly $75 million (~$1.65/share). With the German FCO approval in hand, KLA-Tencor’s tender offer will expire at midnight on May 17.
