Spansion hands chairman reins to VC, ex-National Semi founder

September 25, 2007 – NOR flash memory firm Spansion Inc. has named Donald Lucas as its chairman, a role vacated by AMD top exec Hector Ruiz, and added Gilled Delfassy to its board of directors.

Lucas, a venture capitalist since 1967, helped lead the founding of National Semiconductor Corp., and is also a director of Cadence Design Systems. “With a board of directors focused on improving the company’s capital structure, a strong management team, solid long term strategy and compelling technology and solutions, Spansion is well positioned for future success,” he said in a statement.

Gilles Delfassy was previously a senior VP at Texas Instruments, heading its wireless terminals unit for more than a decade. A TI vet since 1978, he also held various managerial roles in the company’s DSP department (Europe) and automotive electronics business.

The Associated Press noted a SEC filing by Spansion indicating that AMD has transferred its only Class B common share to Spansion (which converted it into Class A common share), and no longer can appoint any directors to the company. Spansion was spun off from an AMD-Fujitsu JV in late 2005.

Days ago Spansion officially opened its SP1 300mm/65nm NOR flash fab in Japan.
